1. About these terms
TechCity Inventory (the “Service”) is operated by TechCity in Bangladesh (“TechCity”, “we”, “us”). It is an online inventory and business-management service: businesses (each a “Business”, “you”) use it to track stock across locations, record purchases and sales including at the point of sale, manage customers, suppliers, dues, repairs, accounts, VAT and staff, and see reports.
By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you use the Service for a business, you confirm you are allowed to accept these terms for it. If you do not agree, do not use the Service.
2. Accounts and your team
- Accounts are for people aged 18 or over who can enter a binding contract.
- Give accurate information and keep it up to date. You may sign in with an email and password or with Google.
- Keep your sign-in details secret. You are responsible for what happens under your account, including what the team members you invite do in your Business. Tell us at once if you think your account has been misused.
- The owner of a Business decides who joins its team. Team members act only within the role and locations the Business gives them.
3. Using the Service for your business
You run your Business and keep its records yourself. You are responsible for:
- the accuracy of what you and your team enter — products, prices, costs, stock counts, purchases, sales, expenses and payments;
- the goods and services you buy and sell, and any licences, permits or registrations your business needs;
- your taxes, VAT returns, invoices and accounts. The Service calculates totals, VAT and reports from what you enter, but it is not tax, accounting or legal advice; check the figures and use a qualified adviser where needed;
- your dealings with your customers and suppliers, including prices, warranties, repairs, refunds and collecting what you are owed;
- having a lawful reason to record the personal information of your customers, suppliers and employees, and their agreement where the law needs it before you send them SMS or email;
- following employment, consumer-protection, advertising and data-protection law.
TechCity provides the software and hosting. We are not a party to any sale, purchase, repair or employment between your Business and anyone else.
4. Plans, trials and fees
- Each Business is on a plan. Plans, their limits (such as locations, team members and products) and their prices are shown on the pricing page.
- A new Business starts with a free trial — 14 days unless the plan says otherwise — and no card is needed to start it.
- Paid plans are billed in advance for each period, monthly or yearly, in the currency shown when you choose. Fees are not refundable for a period already started, except where the law requires.
- We will give you at least 30 days’ notice before raising the price of your plan or adding a new fee. You can change plan or close your account before the change applies.
- If a trial or subscription ends without being renewed, your data stays safe and you can still view and export it, but you cannot make changes until you renew. If it stays unpaid, we may suspend the account; we will tell you first.
5. Payments and messages
- Subscription payments to TechCity are made through payment gateways such as bKash, Nagad, SSLCommerz or Stripe.
- If you connect your own gateway account to collect from your customers through payment links, those payments go to your gateway account under your own agreement with that provider; TechCity does not hold them. Refunds, chargebacks and disputes about such payments are between you, your customer and the provider.
- SMS and email the Service sends for your Business — such as due reminders, payment links and repair updates — go through the Service’s provider or one you connect. You are responsible for who you message and what you send. Message charges, where they apply, are shown in the app or set by your own provider.
6. Your customers
- If you receive an invoice, account statement, payment link or repair update from a Business that uses the Service, your dealings are with that Business, and its own prices, warranty and refund terms apply.
- Questions and complaints about a purchase, a repair, a payment or an amount owed go to that Business first. If it does not respond, you can tell us at [email protected]; we will look into it and may act against a Business that breaks these terms, but we cannot guarantee an outcome.
- Nothing in these terms takes away rights you have under consumer-protection law.
7. Acceptable use
You must not use the Service:
- to run or record trade in anything illegal where you operate, including drugs, weapons, ammunition, explosives, and counterfeit or stolen goods;
- to keep false records in order to deceive tax authorities, lenders, partners or anyone else;
- to send spam, or messages to people who have not agreed to them where the law needs that, or to harass, threaten or defraud anyone;
- to upload malware, try to get into accounts or data that are not yours, probe or overload the Service, or get around its limits or security;
- to scrape or copy the Service in bulk, or resell it without our written permission.
We may remove content that breaks these rules.
8. Your data and our software
- Your data stays yours. Your Business owns its records, files and logo. You give TechCity a licence to host, copy, display and process them only as needed to provide the Service. The licence ends when the data is deleted, apart from backups and what the law requires us to keep.
- You confirm you have the rights to everything you upload, and that using it in the Service does not infringe anyone’s rights.
- You can export your records and reports, such as products, stock, customers and sales, as spreadsheets from the app.
- The Service is ours. The software, design, and the TechCity name and logo belong to TechCity. You may not copy, modify, reverse-engineer or resell the Service. Ideas and feedback you send us may be used freely.
9. Data and privacy
Our Privacy Policy explains how we handle personal information. For the personal information your Business records about its customers, suppliers and employees, your Business decides how it is used, and TechCity processes it on your behalf to provide the Service. You must use that information only for your Business, keep your team’s access appropriate, and answer requests from the people it is about.
10. Third-party services
The Service works with services we do not control, such as Google (sign-in), payment gateways, SMS and email providers, and our hosting provider. Your use of them is also subject to their own terms, and they are responsible for their own services. We are not responsible for a third-party service’s outages, decisions or charges.
11. Suspension and closing an account
- You can close your Business’s account at any time by contacting us. Before closing, export any data you want to keep.
- We may suspend an account if it breaks these terms, if the law or an authority requires it, if a payment is overdue, or to protect other users or the Service. Where it is safe and lawful, we will tell you why and give you a chance to fix the problem first.
- After an account is closed or terminated, we delete or anonymise its data within 90 days, except what we must keep by law (such as accounting records). Sections 8, 13, 14 and 15 continue to apply after closure.
12. Availability and changes
We work to keep the Service available, secure and backed up, but we do not promise it will be uninterrupted or error-free; there will be maintenance and occasional outages. Our backups protect the Service as a whole and are not a substitute for exporting your own records regularly. We may add, change or remove features. If we remove a significant feature you pay for, we will give reasonable notice.
13. Disclaimers and limitation of liability
- The Service is provided “as is” and “as available”. To the extent the law allows, we make no other promises, including about fitness for a particular purpose.
- Stock levels, reports, VAT and accounting figures are only as accurate as the information entered. To the extent the law allows, TechCity is not liable for decisions you make based on them, or for indirect or consequential losses such as lost profits, sales, stock, data or business opportunities, or for losses caused by your team, your customers or suppliers, or third-party services.
- Our total liability for any claims relating to the Service is limited to the fees you paid TechCity in the 12 months before the claim arose; if you have used the Service only on a free trial, or have not paid us, it is limited to BDT 5,000.
- Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
14. Indemnity
You will cover TechCity for claims, losses and reasonable legal costs arising from your Business, the goods and services you deal in, your records and content, your dealings with your customers, suppliers and employees, the messages you send, or your breach of these terms or the law — except to the extent they were caused by TechCity.
15. Governing law and disputes
These terms are governed by the laws of Bangladesh. Before going to court, please contact us so we can try to resolve the issue. Disputes that cannot be resolved will be decided by the courts of Dhaka, Bangladesh, unless consumer-protection law gives you the right to bring a claim elsewhere.
16. Changes, contact and general
- We may update these terms. The date at the top shows the latest version; for significant changes we will tell Businesses by email or in the app at least 30 days before they apply. Continuing to use the Service after that means you accept them.
- If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a term straight away, we have not given up the right to.
- These terms, the Privacy Policy and any plan details you accept are the whole agreement between you and TechCity about the Service. You may not transfer your account without our agreement; we may transfer these terms to a successor of our business.
